In the role of Senior Legal Counsel (Middle East - M&A and New Schools), you will be responsible for playing a senior and leading role in providing legal support to Nord Anglia and its Middle East Region in its M&A and new school expansion activity, delivering pragmatic, commercial and strategic legal advice.
The Role Responsibilities- Acquisitions / Integration - Support the inorganic growth of the Group through assisting with the execution of M&A transactions, providing comprehensive legal support for all aspects of M&A transactions in your Region throughout the deal lifecycle, including drafting and reviewing transaction documents, conducting due diligence, assessing legal risks, maintaining records, and ensuring internal policies and procedures are followed.
- Support on integration of newly acquired schools in your Region, including addressing issues identified in due diligence, transfer of contracts, regulatory compliance, post-closing restructuring matters, etc.
- Real Estate - Support the organic growth of the Group through assisting with the execution of greenfield developments, school expansion projects and lease renewals.
- Risk Management - Lead region-specific projects to transform operational practice and risk management for organic and inorganic growth activities; advise on key corporate governance policies and procedures, and lead the internal approvals process.
- Experienced lawyer with 5+ years PQE in M&A and Real Estate development projects.
- Training in an international law firm.
- Prior in-house experience desirable.
- Knowledge and experience working with international laws and cross-border transactions.
- Experience working with senior management teams.
- Excellent Microsoft Word, Excel, Outlook and PowerPoint skills.
- Excellent English communication skills, both written and verbal.
- High-level drafting and negotiation skills.
- Excellent communication skills and ability to influence across a broad range of stakeholders.
