ABOUT THE ROLEMounties Group is seeking a Legal & Governance Manager to support our legal, regulatory, governance, risk and compliance functions. This role may suit a legally qualified professional interested in expanding their experience beyond traditional legal work, with exposure to a range of responsibilities across the organisation.
More specifically, your duties will include but are not limited to:
- Provide strategic governance support to strengthen Mounties Group's governance frameworks, contributing to the effective operation of the Board and its Committees, and ensuring compliance with corporate governance standards and regulatory obligations.
- Manage annual reporting and disclosure obligations, including preparation and lodgement of regulatory submissions, maintenance of statutory registers and coordination of corporate filings with relevant authorities.
- Ensure compliance with corporate law requirements, including director appointments and resignations, annual statements, constitution amendments, and other filings
- Legal advice and support on corporate, commercial, regulatory and risk-related matters.
- Supporting legal frameworks, policies, and procedures to ensure compliance with applicable laws and regulations
- Provide operational support to the Legal Team, including conducting legal research, preparing and formatting documents, drafting correspondence, and assisting with internal and external stakeholder communications.
- Oversee the management and maintenance of legal templates, advice records, and precedent documents, ensuring consistency, version control, and accessibility across the organisation.
- Collaborate closely with the Risk and Compliance Team to support the implementation and monitoring of risk management and compliance frameworks, ensuring regulatory obligations are identified, assessed, and effectively managed across the organisation.
- Coordinate and assist in responding to regulatory notices, including gathering relevant information, drafting responses, liaising with internal stakeholders and external counsel as needed, and ensuring timely and accurate submissions to regulatory bodies.
The successful candidate, would have:
- Bachelor's degree in Law and admission to practice law in New South Wales.
- Experience in legal, governance or company secretarial roles within a regulated environment.
- Strong understanding of corporate governance principles and compliance frameworks.
- Excellent organisational, communication, and stakeholder engagement skills.
- High attention to detail, discretion, and ability to manage multiple priorities.
- Proficiency in Microsoft Office and governance/legal/risk management systems.
